CONDITIONS OF SALE
(Applicable to Paid Subscription Plans)

These Conditions of Sale (“CGV”) govern the purchase of paid subscription plans and related services offered by SARL ZHULI, operating under the name Pageface.
These CGV apply in addition to the Terms & Conditions. In the event of conflict, these CGV shall prevail with respect to commercial and payment matters.

2. Scope
These CGV apply to all paid subscription plans offered via the Pageface platform, including but not limited to:
Pro
Business
Max
The Free plan is provided at no cost and is not subject to these CGV except where expressly stated.
3. Subscription and Duration
Paid plans are offered on a recurring subscription basis, either:
Monthly
Yearly
Subscriptions automatically renew for successive periods of the same duration unless cancelled before the renewal date.
The subscription period begins on the date of payment confirmation.
Automatic Renewal Acknowledgment.
The Customer expressly acknowledges that each paid subscription includes an automatic renewal mechanism.
By completing the subscription process, the Customer explicitly agrees that the subscription will automatically renew at the end of each billing period (monthly or yearly, as selected) unless cancelled prior to the renewal date.
The Customer further acknowledges and accepts that the renewal will result in the automatic charge of the applicable subscription fee using the payment method provided.
Renewal Reminder.
Pageface may, at its discretion, send a renewal reminder to the Customer prior to the automatic renewal date. Such reminder is provided for convenience only and shall not constitute a contractual obligation on the part of Pageface. The absence of a reminder shall not affect the validity of the automatic renewal.
4. Pricing and Taxes
All prices are indicated in euros (€) and exclude VAT unless otherwise specified.
VAT will be applied where required by applicable law.
Pageface reserves the right to modify pricing at any time. Price changes shall apply only to future subscription periods.
In the event of a price modification, the Customer shall be informed prior to the next renewal date. If the Customer does not agree to the new pricing, the Customer may cancel the subscription before the renewal date, in which case the subscription will terminate at the end of the current billing period.
5. Payment Terms
Payment is due immediately upon subscription and at each renewal date.
Failure to pay may result in immediate suspension of access to the Service without prior notice.
For professional customers (B2B), in accordance with Article L441-10 of the French Commercial Code:
Late payments shall automatically give rise to interest penalties at the legal rate in force;
A fixed recovery fee of forty (40) euros shall be due.
6. No Refund Policy
All payments are final and non-refundable.
No refunds shall be granted for:
Partial subscription periods;
Unused features;
Downgrades during a subscription period;
Account suspension due to violation of the Terms;
Early termination by the Customer.
The Customer acknowledges that access to the Service is provided immediately upon payment and constitutes full performance of digital services.
7. No Right of Withdrawal (Digital Services)
In accordance with Article L221-28 of the French Consumer Code:
The Customer expressly requests immediate access to the digital Service upon subscription and acknowledges that this results in the waiver of the statutory 14-day withdrawal right once access to the Service has begun.
By completing the subscription process, the Customer:
expressly consents to immediate performance of the Service;
expressly waives the right of withdrawal.
8. Plan Modifications and Upgrades
Customers may upgrade their subscription plan at any time.
Upgrades may result in immediate prorated billing.
Downgrades take effect at the next renewal date.
No partial refund shall be granted in case of downgrade.
9. Suspension and Termination
Pageface reserves the right to suspend or terminate access in case of:
Non-payment;
Breach of contractual obligations;
Fraudulent or unlawful activity.
Upon termination, access to paid features shall cease immediately.
Customer data may be retained for a limited period solely for technical or legal purposes, after which it may be permanently deleted.
10. Data Retention After Termination
Upon termination of a paid subscription:
The Customer is responsible for exporting data prior to termination;
Pageface may permanently delete Customer data after thirty (30) days;
Pageface shall not be liable for data loss following deletion.
11. Limitation of Liability
To the maximum extent permitted by law, Pageface’s total liability under these CGV shall not exceed the total amount paid by the Customer during the twelve (12) months preceding the claim.
Pageface shall not be liable for indirect or consequential damages.
12. Force Majeure
Pageface shall not be liable for failure to perform obligations resulting from events beyond its reasonable control, including but not limited to natural disasters, governmental actions, internet disruptions, or third-party service failures.
13. Governing Law
These CGV are governed by the laws of France.
For professional customers, disputes shall fall under the exclusive jurisdiction of the competent courts of France.
For consumers, mandatory consumer protection laws may apply.
14. Language
These CGV are provided in English. A French version may be provided for convenience. In the event of discrepancy, the English version shall prevail.
